Omniscio โ End User License Agreement (EULA)

0. Please read this first
This End User License Agreement (the "Agreement" or "EULA") is a legal contract between you (an individual or a single organization, "you") and Omniscio LLC governing your installation and use of the Omniscio desktop application and any updates, components, backend services, and documentation we provide (together, the "Software").
By installing, copying, accessing, signing in to, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software, and delete any copies you have.
If you are entering into this Agreement on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.
1. Definitions
- "Software" โ the Omniscio desktop application (for Windows, macOS, and Linux), including all updates, upgrades, bundled components, our backend services, and accompanying documentation. Omniscio is published and operated by Omniscio LLC ("the Company," "we," "us," "our"), a North Carolina limited liability company. (Omniscio was previously named "Agent Mission Control.")
- "Account" โ the account you create by signing in with a supported sign-in provider (for example, your Anthropic/Claude account, Google, or GitHub). Your plan (Free or Pro), entitlements, and Credit balance are tied to your Account.
- "Free" โ the no-cost version of the Software, which includes a small monthly pool of Company-funded AI Credits (approximately $1.50 USD/month). When that pool is exhausted, you may upgrade to Pro or continue by supplying your own third-party AI provider API key (BYOK). Feature and usage limits are shown in the App and at the point of purchase.
- "Pro" โ the paid tier of the Software, unlocked while you are signed in to an Account with an active Subscription. Pro is $15 USD/month or $144 USD/year, and includes a larger monthly pool of Company-funded AI Credits (approximately $15 USD/month) plus additional features.
- "Subscription" โ a recurring paid plan (monthly or annual) for Pro, sold directly by the Company and charged through Stripe (see Section 5).
- "Credits" โ the unit used to meter the Supporting AI Services provided through our backend. Each plan includes a monthly Credit allowance. Credits are a usage allowance, not a cash balance: they do not roll over, are not redeemable for cash, and reset each billing/calendar month. Consumed Credits are non-refundable. Exact figures shown at the point of purchase control over any "approximately" figure here.
- "Your AI Provider" โ the third-party artificial-intelligence service you connect to the Software using your own account or key, principally Anthropic's Claude and Claude Code, used to run the Coding Agent (see Section 8).
- "Coding Agent" โ the core AI coding feature of the Software, which runs on Your AI Provider (your own Claude). Your code and Coding-Agent prompts go directly from your device to Anthropic.
- "Supporting AI Services" โ supporting features that use AI: a helper/assistant LLM, speech-to-text (voice transcription), text-to-speech, image generation, and web search. You may power these with your own per-service keys, or with our bundled service metered by Credits.
- "BYOK" ("Bring Your Own Key") โ supplying, and paying for, your own AI credentials. BYOK always applies to the Coding Agent (you supply your own Claude/Anthropic account), and optionally to the Supporting AI Services if you choose to use your own keys instead of our bundle.
2. Acceptance, account, and eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Software. By using the Software you confirm that you meet this requirement and that your use complies with all laws that apply to you.
The Software is currently offered only to users located in the United States. You represent that you are located in, and will use the Software from, the United States.
Some features require you to create an Account and sign in with a supported sign-in provider (for example, your Anthropic/Claude account, Google, or GitHub). Your Account is personal to you (or your organization); you may not share it, and you must provide accurate information and keep your sign-in secure. One person or organization may not maintain multiple Accounts to evade Free-plan limits or Credit metering.
3. License grant
Subject to your compliance with this Agreement, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Software on devices you own or control, for your own personal or internal business use, as follows:
- (a) Free. While signed in to an Account, you may install and use the Free version, subject to its feature, usage, and Credit limits.
- (b) Pro. While you are signed in to an Account with an active Subscription, you may use the Pro features of the Software for the duration of that Subscription.
This license is a grant of rights to use the Software. It is not a sale, and no ownership of the Software passes to you. The Software includes third-party and open-source components licensed under their own terms, which govern those components.
4. License restrictions
Except to the extent this restriction is prohibited by applicable law, you must not, and must not allow anyone else to:
- copy, reproduce, distribute, publish, lease, lend, rent, sell, resell, or otherwise transfer the Software, your Account, or your access credentials to any third party;
- sublicense, host, or provide the Software to others as a service or on a "service-bureau" basis;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or algorithms of the Software, except to the limited extent that applicable law expressly permits this despite this restriction (and then only after you have asked us in writing for the information you need and we have not provided it within a reasonable time);
- access, extract, or inspect the Software's source code, scripts, or other internal files โ including any human-readable source bundled with, embedded in, or otherwise readable within the installed Software โ in order to view, study, copy, or reconstruct its design, logic, or implementation; such materials are proprietary and confidential to us, and the fact that a file is technically readable on your device grants you no right to read, use, copy, or disclose it;
- modify, adapt, translate, or create derivative works of the Software, except as permitted by applicable open-source licenses or by us in writing;
- circumvent, disable, tamper with, or work around any sign-in or entitlement check, Account or usage limit, Credit metering, Free-plan limit, or other technical protection or usage limit in the Software or our backend;
- probe, scan, or penetration-test the Software, our backend, or our systems, or attempt to bypass or defeat their security or usage controls, without our prior written permission (report vulnerabilities to security@omniscio.com);
- share, resell, or transfer your Account, Subscription, or Credits;
- remove, obscure, or alter any copyright, trademark, proprietary, or other legal notice in or on the Software;
- use the Software to build a competing product, or to copy any feature or design of the Software;
- use the Software in violation of any law, or to infringe the rights of others.
5. Account, Subscriptions, Pro, and Credits
- (a) Account and entitlement. Your plan (Free or Pro) is tied to your signed-in Account, not to a standalone license key. When you start the Software, it checks your Account's entitlement and Credit balance with our backend in order to provide the features and metering for your plan.
- (b) Direct sale; payment processing. You purchase Subscriptions and any Credit packs directly from the Company โ Omniscio LLC is the merchant of record, and the charge originates from the Company. Payments are processed by Stripe, Inc. ("Stripe"); Stripe is the payment processor only, not the seller. You authorize the Company, through Stripe, to charge your payment method for all applicable fees, including recurring charges, until you cancel. Card and payment details are handled by Stripe.
- (c) Taxes. Prices exclude taxes. Applicable US sales/use taxes are calculated and collected at checkout via Stripe Tax based on your location and added to your total. You are responsible for those taxes; the Company is responsible for taxes on its net income.
- (d) Credits and metering. Each plan includes a monthly Credit allowance (smaller on Free, larger on Pro). Credits meter your use of the Supporting AI Services provided through our backend (Section 8). Credits are a monthly usage allowance that does not roll over and resets each month, and consumed Credits are non-refundable. We may meter, limit, throttle, or temporarily suspend Supporting-AI usage to protect the service from abuse or overload, and to enforce your allowance.
- (e) Automatic renewal. Your Subscription automatically renews at the end of each billing period until cancelled. At checkout, before you pay, we disclose the recurring nature of the charge, the amount, the billing interval, and how to cancel; for any annual plan we send a renewal reminder before the renewal charge. Renewals continue at the then-current price until you cancel.
- (f) Cancellation. You may cancel at any time, directly in the App (or via a self-service billing portal we provide), using a method at least as easy as signing up. Cancellation stops future renewals; paid features remain active through the end of the current paid period. Cancellation is governed by the Refund & Cancellation Policy; cancelling moves you to the Free plan rather than ending this Agreement, unless you also uninstall.
- (g) What happens when a Subscription lapses. If your Subscription ends, is cancelled, expires, or is not renewed โ or if a payment fails or is reversed โ your Pro entitlement ends and the Software reverts to the Free plan. The Software keeps working at the Free plan's feature, usage, and Credit limits; you do not lose access to the core application, only to Pro features and the larger Credit allowance.
- (h) Chargebacks and payment disputes. If you dispute a charge, contact us first โ the 14-day refund and self-service cancellation resolve billing issues quickly. Initiating a chargeback or card-network dispute, instead of using those channels, for a charge that is valid under this Agreement is a breach. You authorize the Company to present this Agreement and your usage records to the card network in response, and we may suspend or terminate your Account and withhold service while a chargeback is pending or after an invalid one is filed. This does not limit any refund or dispute right you cannot waive under applicable law.
6. Ownership and intellectual property
The Software is licensed, not sold. We and our licensors own and retain all right, title, and interest in and to the Software, including all intellectual-property rights in its code, design, look and feel, names, logos, and documentation. All rights not expressly granted to you in this Agreement are reserved by us. You receive only the limited license described in Section 3. The Software is distributed under a proprietary, all-rights-reserved license.
Your projects, code, prompts, and outputs are yours; we do not claim ownership of them and do not use them to train our own models. Any feedback, ideas, or suggestions you choose to send us about the Software are given voluntarily, and we may use them for any purpose without obligation or compensation to you.
7. Software updates and auto-update
The Software may check for, download, and install updates automatically to improve security, fix bugs, and add or change features. You agree that we may deliver such updates, and that this Agreement governs them unless an update is accompanied by its own separate terms. We may add, change, or remove features over time. Where reasonably practicable, we will provide notice of material changes that significantly reduce core functionality.
8. Third-party services, your own Claude, and the Supporting AI Services
The Software is a client that helps you organize and operate AI coding-agent sessions. The Coding Agent does not include or provide any AI model or AI compute of our own โ it runs on Your AI Provider (your own Claude).
- (a) Coding Agent โ Bring Your Own Key (BYOK). To do useful coding work, the Software requires you to connect your own AI Provider account or API key โ principally an Anthropic account (via sign-in) or your own Anthropic API key. You are responsible for obtaining that account, complying with the AI Provider's terms, and paying the AI Provider for all Coding-Agent usage. Your AI Provider credentials are stored locally on your own device (encrypted using your operating system's secure-storage facility) and are never transmitted to the Company. You are solely responsible for all charges incurred under your own key โ including charges resulting from automated, agentic, scheduled, or looping usage โ and we strongly recommend you set a spending limit on your own provider account and use the App's configurable spending limits.
- (b) Your Coding-Agent content goes to Anthropic, not to us. When you use the Coding Agent, your prompts, source code, files, and conversations are sent directly from your device to Anthropic (or to the AI Provider you have configured) and are processed under Anthropic's own terms and privacy policy โ not ours. We do not receive, store, or have access to that content. - (c) Supporting AI Services โ your keys or our bundle. For the Supporting AI Services (helper/assistant LLM, speech-to-text, text-to-speech, image generation, and web search), you choose either:
- (i) your own per-service API keys โ those requests go directly from your device to the relevant provider, and we do not see them; or
- (ii) our bundled service โ one credential that unlocks all of these, metered by Credits. When you use our bundle, those requests are routed through the Company's gateway to the upstream providers that fulfil them, so that data does pass through us. This is described in detail in the Privacy Policy.
- (d) Other third-party services. The Software can optionally connect to other third-party services you choose to enable (for example, messaging, email, or version-control integrations). Your use of those services is governed by their own terms and privacy policies, and is your responsibility.
- (e) Provider usage policies flow down. When you use Company-funded Credits, your requests run through the Company's account with the underlying AI providers, so you must also comply with those providers' usage/acceptable-use policies (for example, Anthropic's Usage Policy), as updated. The same obligation applies to your BYOK usage.
- (f) No control over third parties. We are not responsible for the availability, accuracy, security, or actions of any third-party service, including any AI Provider or upstream Supporting-AI provider. AI output can be inaccurate, incomplete, or unsuitable; you are responsible for reviewing and verifying anything an AI agent produces before relying on it.
9. No affiliation with Anthropic; trademarks
Omniscio is an independent product. It is not affiliated with, endorsed by, sponsored by, or otherwise associated with Anthropic, PBC. "Claude" and "Claude Code" are trademarks of Anthropic, used here only nominatively โ that is, solely to describe that the Software is designed to interoperate with Anthropic's products. All other trademarks are the property of their respective owners.
10. Refunds
Refunds are governed by the Refund & Cancellation Policy. In short: you may request a 14-day refund of the amount paid, less the cost of any Company-funded AI credits already consumed during that period (the consumed portion is non-refundable because it reflects real third-party AI cost we incurred on your behalf). This applies to the first purchase and to each renewal charge. Refund requests: in the App, or by emailing legal@omniscio.com.
11. Term and termination
- (a) Term. This Agreement applies from the moment you first install or use the Software and continues until terminated.
- (b) Termination by you. You may terminate this Agreement at any time by uninstalling the Software, deleting all copies, and (if you wish) closing your Account. Cancelling a Subscription is governed by the Refund & Cancellation Policy; cancellation moves you to the Free plan rather than ending this Agreement, unless you also uninstall.
- (c) Termination or suspension by us. We may suspend or terminate this Agreement, your Account, or your license (including a Pro license) if you materially breach this Agreement โ for example, by violating Section 4 (License restrictions), abusing the Supporting AI Services or our AI gateway, or failing to pay โ and, where the breach is capable of being fixed, you do not fix it within a reasonable time after we ask.
- (d) Effect of termination. On termination, your license ends and you must stop using and delete the Software. Locally stored data remains on your device until you delete it. Sections that by their nature should survive โ including Sections 4, 6, 8, 9, 12, 13, 14, 15, and 16 โ survive termination.
12. Disclaimer of warranties (AS IS)
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. To the fullest extent permitted by applicable law, we and our licensors disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Software or our backend services (including the Supporting AI Services) will be uninterrupted, error-free, secure, or free of harmful components, that defects will be corrected, or that the Software will meet your requirements or work with any particular hardware, software, or third-party service. AI output and agent actions are inherently unpredictable. You are solely responsible for backing up your data and for reviewing, testing, and verifying any output produced by AI agents before relying on it.
Not for high-risk use. The Software is general-purpose developer tooling and is not designed, intended, or authorized for use in high-risk activities where a failure, error, or unpredictable AI action could lead to death, personal injury, or severe physical, environmental, or property damage โ including medical devices or life support, aircraft or other vehicle navigation or control, nuclear facilities or other critical infrastructure, weapons systems, or any real-time safety, emergency-response, or life-critical system. You will not use the Software for any such purpose; if you do, you do so entirely at your own risk and assume all resulting liability.
Not professional advice. AI output is informational only and is not legal, financial, tax, medical, or other professional advice; you are responsible for independently verifying it and for obtaining qualified professional advice where appropriate.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In that case, any mandatory warranties are limited to the minimum extent and shortest duration permitted by law.
13. Limitation of liability
To the fullest extent permitted by applicable law:
- The limits below do not apply to: (a) fraud, gross negligence, or willful misconduct; (b) death or personal injury caused by negligence; or (c) any liability that cannot be limited or excluded under applicable law. These carve-outs are stated first so that, if a limit below is held unenforceable as to a carved-out claim, the remainder of this Section still stands.
- Subject to the carve-outs above, we and our owners, employees, licensors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, or anticipated savings, arising out of or relating to the Software or this Agreement, even if we have been advised of the possibility of such damages. This includes any loss or damage arising from your use of any AI Provider or other third-party service, from any interruption or limitation of the Supporting AI Services, or from any cost, charge, or consequence of AI usage you incur, or any action taken by an AI agent.
- Subject to the carve-outs above, our total aggregate liability for all claims arising out of or relating to the Software or this Agreement will not exceed the greater of (a) the amounts you paid the Company in the twelve (12) months before the event giving rise to the claim, or (b) USD $100.
This liability limit matches Section 13 of the Terms of Service. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
14. Export compliance and sanctions
You represent that you are not located in, and are not a national or resident of, any US-embargoed or sanctioned jurisdiction; that you are not on any US government restricted-party list (including OFAC's SDN list or the BIS denied/entity lists); and that you will not use or export the Software in violation of US export-control or sanctions laws. You must not use or export the Software in violation of any such laws.
15. Privacy
Our handling of data is described in the Privacy Policy, which is incorporated into this Agreement by reference. In short: your Coding-Agent code and prompts, and your AI Provider credentials, stay on your device or go directly to your AI Provider, not to us; while your Account profile, usage/credit metering, and โ if you use our bundle โ your Supporting-AI requests are handled by us as described in the Privacy Policy. Please read it to understand what data is involved and which diagnostics and telemetry you can turn off.
16. Governing law and disputes
This Agreement is governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods. Disputes are resolved as set out in the Terms of Service (binding individual arbitration + class-action waiver, with a 30-day opt-out; North Carolina governing law). Nothing here removes any mandatory consumer-protection rights you have under applicable law.
17. General
- (a) Entire agreement. This Agreement, together with the Terms of Service, Privacy Policy, and Refund & Cancellation Policy, is the entire agreement between you and us about the Software, and replaces any prior agreement on that subject. If there is a conflict between this EULA and the Terms of Service about your license to the Software, this EULA controls for license matters.
- (b) Changes to this Agreement. We may update this Agreement from time to time. If we make material changes, we will provide reasonable notice (for example, in the Software or by updating the "Last updated" date above). Your continued use of the Software after the changes take effect means you accept the updated Agreement; if you do not agree, stop using the Software.
- (c) Severability. If any part of this Agreement is held unenforceable, that part will be limited or removed to the minimum extent necessary, and the rest will remain in full force.
- (d) No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
- (e) Assignment. You may not assign or transfer this Agreement, your Account, or your license without our prior written consent. We may assign this Agreement, for example in connection with a merger, acquisition, or sale of assets.
- (f) Third-party beneficiaries. Our licensors and suppliers are intended third-party beneficiaries of the disclaimers and liability limits in this Agreement. There are no other third-party beneficiaries.
- (g) Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control.
